Terms of Service

1. Acceptance of Terms

By accessing or using the Yelo Reputation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including business account holders and their team members.

2. Description of Service

Yelo Reputation provides a reputation management platform that enables small businesses to collect customer reviews, manage their online presence across Google, Yelp, and Facebook, send review request campaigns via email, display reviews on their website, and capture private customer feedback.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions are billed on a recurring monthly basis unless canceled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service.

5. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited commercial messages (spam) or violate CAN-SPAM, TCPA, or other applicable anti-spam laws.
  • Solicit, incentivize, or fabricate reviews in violation of platform guidelines (Google, Yelp, Facebook, etc.).
  • Upload customer contact data you do not have legal permission to use.
  • Engage in any fraudulent, deceptive, or misleading practices.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service for any unlawful purpose.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google, Yelp, Facebook, and Stripe. Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. You are responsible for ensuring your use of third-party integrations complies with their terms.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Yelo Reputation. You retain ownership of your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YELO REPUTATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
